ACQUISITIONS
& DISPOSITIONS

In addition to advising on the outright purchase and sale of property, we structure multifaceted relationships between parties for the ownership or development of real estate, including joint ventures, limited liability companies and subsidiary entities. We have experience with all types of properties in the commercial, residential, health care and hospitality sectors and regularly perform the due diligence and negotiation of asset transfers. We have executed many divestment transactions including the sale and leaseback of assets and tax-deferred like-kind property exchanges. 

LEASING

We have extensive knowledge and experience with all aspects of leasing transactions. We represent the owners of many premier office buildings and sophisticated tenants in their lease negotiations for office space. Additionally, we represent both landlords and tenants in a wide array of the leasing of retail space including restaurants, supermarkets, bars, art galleries, spas, entertainment, educational, and warehouse and distribution facilities. Our experience also includes a variety of more complex lease transactions, such as operating leases, ground leases, subleases, build-to-suit leases and sale-leaseback transactions.

DEVELOPMENT

We have acted as counsel on major mixed-use projects including office buildings, assisted living facilities, retail facilities, and large-scale apartment buildings. We advise our clients in all aspects of the development process, including site assemblage, acquisition, construction and permanent financing, equity arrangements, and leasing. We also frequently help clients advance their interests through complementary transactions, such as joint ventures, easements and air and development rights transfers.

FINANCING

We have experience in all aspects of commercial real estate lending, from structuring deals and drafting requisite documents, to negotiating and closing loans. We provide legal counsel to banks, private equity funds and other entities, in connection with the structuring of financing transactions that involve commercial real estate. We represent both lenders and borrowers with regard to the financing of a wide range of property types, including office, retail, hospitality, multifamily, subdivision, mixed-use, health care, and other properties.
